Founding Members Terms & Conditions

§ 1Definitions

• "Venue" — Duplex Dynasty LLC dba Dewberry Hideout, a Texas limited liability company, located at 949 FM 1854, Dale, TX 78616.
• "Founding Member" — a person who has purchased any of the five (5) Founding Membership tiers described below.
• "Complimentary Nights" — dome cabin nights included with a specific tier, redeemable per §5.
• "Lifetime Discount" — a percentage-based discount applied to future Venue bookings, active while the Venue is operating (per §6).
• "Recognition" — physical acknowledgment of the Founding Member on-site: Founders Wall, plaque, engraved paver, or dome/suite naming rights per tier.

§ 2The Five Founding Tiers

Total Founding Member cap: 226 members, distributed across the five tiers as shown. Once a tier reaches its cap, that tier is permanently closed — its pricing and recognition slots will not be re-opened.

§ 3Payment Terms

3.1 Purchase Options

• Full Payment — pay the tier price in full at signup. Membership is immediately locked and unclaimable by any other party.
• 50% Deposit — pay half the tier price at signup. Balance is due by September 1, 2027 (Venue opening day).

3.2 Accepted Payment Methods

Check, ACH bank transfer, Zelle (to events@dewberryhideout.com), wire transfer, or credit card (3% processing fee added).

3.3 Late Payment on Deposit Balances

If the 50% balance is not paid by September 1, 2027, Venue may:

• Send a 15-day cure notice via email;
• If unpaid after cure period, retain the 50% deposit as liquidated damages and release the tier slot for resale.

§ 4Cancellation & Refunds

Founding Membership purchases are generally non-refundable. Exceptions:

• 7-day cooling off period. Within 7 calendar days of initial purchase, a Founding Member may cancel and receive a full refund minus a $50 administrative fee.
• Venue fails to open by December 31, 2028. If Dewberry Hideout has not opened for public operations by this backstop date (15 months after target opening), all Founding Members receive a full refund of amounts paid, without interest.
• Force majeure. Prolonged force majeure event (pandemic, disaster) preventing Venue from operating for 12+ consecutive months post-opening may, at Venue's discretion, be resolved via reschedule credits or partial refund.

§ 5Redemption of Complimentary Nights

• Complimentary Nights become redeemable on Venue Opening Day (target: September 2027).
• Nights roll over year-to-year but expire five (5) years after Venue opening or five years after your purchase date, whichever is later.
• Reservations require at least 30 days' notice and are subject to availability. Peak dates (COTA race weekends, spring wildflower season) may be blackout dates published annually.
• If more than 5 unused Complimentary Nights accumulate, they may not all be redeemed back-to-back in a single stay.
• Complimentary Nights cover the room only — Texas Hotel Occupancy Tax (state 6% + local up to 9%) and any additional guest fees, damage deposits, or add-ons remain payable by the Founding Member.

§ 6Lifetime Discount

• Applied to base package prices only — not to third-party vendor fees, add-ons, taxes, or gratuity.
• Cannot be combined with other percentage discounts (Non-Profit, Founding Member Waitlist, seasonal promotions). Applies to whichever discount is greater.
• Remains active as long as Duplex Dynasty LLC dba Dewberry Hideout is operating under substantially the same ownership and brand. In the event of a sale, dissolution, or brand change (see §9), the Lifetime Discount converts to a fixed benefit obligation of the successor entity for up to five (5) years post-transaction, after which it may be discontinued.

§ 7Recognition, Naming Rights, and On-Site Placement

7.1 Founders Wall / Plaques / Pavers

• Names are engraved in the order in which fully-paid memberships are confirmed. Deposit-only members are placed in the order received but final placement is contingent on balance payment by September 1, 2027.
• Engravings use Venue's standard font, format, and design as determined at Venue's sole discretion.
• Members may specify a preferred display name (up to 30 characters), subject to Venue approval (no obscenity, no defamatory content, no commercial promotion).

7.2 Legacy Tier Dome Naming Rights

• The four (4) Founding Legacy Members receive naming rights on one dome cabin each — currently designated Cedar, Dewberry, Pondside, and Starlight.
• Naming preference is assigned in order of full payment received. Venue reserves the right to modify a proposed name that conflicts with a competing brand, violates Venue standards, or is not distinct from another cabin's name.
• Dome names remain in place as long as the physical cabin structure remains in service. If a cabin is retired, replaced, or renamed for operational reasons, Venue will offer the Legacy Member an equivalent recognition on the new/replacement structure or an alternative on-property location.

7.3 Icon Tier Suite Naming Rights

• The two (2) Founding Icon Members receive naming rights on the Bridal Suite and Groomsmen Suite respectively — first paid, first choice.
• Same terms apply as Legacy dome naming (§7.2).

§ 8Guest Passes & Transferability

• Membership itself is personal and non-transferable — it cannot be sold, gifted, or reassigned to a third party.
• Complimentary Nights and guest passes may be redeemed for the Founding Member's immediate family or a designated guest when the Founding Member is on-property or has personally reserved the stay on their guest's behalf.
• Guest passes referenced in Tiers II, III, IV, and V allow one non-member guest to book at the Founding Member's rate. This is not a permanent discount transfer — each use of a guest pass consumes one pass.
• In the event of a Founding Member's death, benefits pass to the surviving spouse or, if none, expire. Benefits do not transfer to descendants, estates, or other beneficiaries.

§ 9Change of Ownership / Business Sale

If Duplex Dynasty LLC dba Dewberry Hideout is sold, merged, or transferred to new ownership:

• Complimentary Nights remain valid for the full 5-year redemption window per §5.
• Lifetime Discounts continue for up to five (5) years post-transaction under successor operation, subject to that successor's continued operation of the Venue in substantially the same form.
• Naming rights and Recognition remain in place for as long as the physical structures (walls, dome doors, suite entrances) they are affixed to remain in service.
• Venue will provide reasonable notice (60 days) to all Founding Members prior to any sale or ownership transfer.

§ 10Tier V "Founding Icon" — Annual Private Event

Founding Icon tier includes a standing invitation to host one private event per year at cost. "At cost" is defined as:

• Pass-through of actual third-party vendor invoices (catering, florals, DJ, bar, etc.) with no markup by Venue;
• Housekeeping and turnover costs at Venue's actual labor cost;
• No venue rental fee charged;
• Subject to date availability (member selects preferred date; Venue confirms based on calendar).

§ 11Not a Securities Offering

§ 12Property, Insurance, Indemnity

• Standard Venue Terms & Conditions (see /terms) apply to all Founding Member stays and events, including insurance requirements, alcohol policy, and property care obligations.
• Founding Member Terms supersede standard Terms only where specifically addressed (e.g., pricing, priority booking, comp nights). All other provisions apply equally.

§ 13Dispute Resolution

• Governing Law: These Terms are governed by the laws of the State of Texas.
• Venue: Any disputes will be resolved in Caldwell County, Texas.
• Informal Resolution: Before filing suit, both parties agree to attempt good-faith resolution via written notice and a 30-day cure period.
• Class Action Waiver: Founding Members agree to bring any claims individually, not as part of a class action, to the extent permitted by law.

§ 14Modifications

These Terms may be modified prospectively upon 30 days' written notice to Founding Members. Modifications that materially reduce or eliminate a Founding Member's benefits require the Founding Member's written consent. Venue reserves the right to modify operational details (e.g., dome names, event capacity, service offerings) without notice.

§ 16Entire Agreement

These Terms, together with the Founding Member's purchase confirmation and the standard Venue Terms & Conditions incorporated by reference, constitute the entire agreement between the parties regarding Founding Membership. No oral representation or promise by Venue staff supersedes these written Terms.
